Terms of Service - IDEA Base

These Terms of Service ("Terms") govern your use of IDEA Base, an AI-powered project management service operated by IDEA Management LLC ("we", "us", "our"). By using our service, you agree to these Terms.

1. The Service

IDEA Base is a project management platform that helps developers organize projects, generate tasks using AI, track time, and integrate with GitHub. The service is available at idea-base.us (marketing) and app.idea-base.us (application).

We offer both free and paid plans. Features and limits vary by plan as described on our pricing page.

2. Your Account

To use IDEA Base, you need to create an account. You agree to:

Provide accurate information when creating your account
Keep your login credentials secure
Notify us immediately if you suspect unauthorized access
Be responsible for all activity under your account

You must be at least 18 years old to create an account. If you're using IDEA Base on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Acceptable Use

You agree to use IDEA Base responsibly. You may not:

Use the service for any illegal purpose
Attempt to gain unauthorized access to our systems
Interfere with or disrupt the service
Upload malicious code or content
Abuse the AI features (e.g., automated mass generation)
Resell or redistribute the service without permission
Harass, abuse, or harm others through the service

4. Your Content

You own your content. Projects, tasks, time entries, and other data you create in IDEA Base belong to you. We don't claim ownership of your content.

By using our service, you grant us a limited license to store, process, and display your content as necessary to provide the service. This includes using your content with our AI features (powered by Anthropic's Claude API) to generate tasks and estimates.

You can export or delete your data at any time. When you delete your account, we will delete your data in accordance with our Privacy Policy.

5. AI Features

IDEA Base uses AI (Claude API by Anthropic) to generate tasks, estimate time, and assist with project management. You understand that:

AI-generated content is provided as suggestions and may not be accurate
You are responsible for reviewing and approving AI-generated tasks
AI usage is subject to monthly limits based on your plan
We may use usage data to improve the service (not your specific project content)

6. Payment Terms

For paid plans:

Billing occurs monthly or annually based on your selection
Prices are in USD and exclude applicable taxes
You authorize us to charge your payment method on file
Upgrades take effect immediately with prorated charges
Downgrades take effect at the end of your billing cycle
Overage charges (if enabled) are billed at the end of each cycle

We accept major credit cards through Stripe. Refunds are handled on a case-by-case basis. If you believe you were charged in error, contact us at [email protected].

7. Cancellation

You can cancel your account at any time from your account settings. Upon cancellation:

You retain access until the end of your current billing period
No refunds are provided for partial billing periods
Your data will be retained for 30 days, then permanently deleted
You can request immediate deletion by contacting support

8. Our Rights

We reserve the right to:

Modify or discontinue features with reasonable notice
Suspend or terminate accounts that violate these Terms
Update these Terms (we'll notify you of material changes)
Set and enforce usage limits to ensure fair access

We won't terminate your account without cause or without providing you access to export your data, except in cases of serious Terms violations.

9. Service Availability

We strive for high availability but cannot guarantee uninterrupted service. We are not liable for:

Scheduled maintenance (we'll provide advance notice when possible)
Outages due to factors beyond our control
Third-party service interruptions (GitHub, Stripe, etc.)

10. Disclaimer of Warranties

IDEA Base is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the service will be error-free, secure, or meet your specific requirements.

AI-generated content is not guaranteed to be accurate, complete, or suitable for any particular purpose. You use AI features at your own discretion.

11. Limitation of Liability

To the maximum extent permitted by law, IDEA Management LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.

Our total liability for any claims arising from your use of the service shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.

12. Indemnification

You agree to indemnify and hold harmless IDEA Management LLC from any claims, damages, or expenses arising from your violation of these Terms or your use of the service.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Delaware.
